Welcome to Loosetile. These Terms of Use ("Terms") govern your access to and use of the website www.loosetile.com (the "Service") operated by Loosetile ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.
1. Acceptance of Terms
By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.
2. Description of Service
Loosetile is a contractor marketplace platform that connects homeowners with vetted contractors for home improvement, renovation, and repair projects. We provide a platform for:
- Homeowners to submit project requests and receive contractor matches
- Contractors to register, get verified, and apply for projects
- Facilitating communication between parties through our platform
Important: Loosetile is a marketplace platform only. We do not perform any construction, renovation, or repair work ourselves. We are not a party to any agreements between homeowners and contractors.
3. User Accounts
Account Registration
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Account Termination
We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, without prior notice or liability.
4. Homeowner Terms
If you are a homeowner using our Service, you agree to:
- Provide accurate and complete information about your project
- Respond to contractor inquiries in a timely manner
- Conduct your own due diligence before hiring any contractor
- Enter into contracts directly with contractors, not with Loosetile
- Pay contractors directly for work performed
- Not use the Service for any unlawful purpose
5. Contractor Terms
If you are a contractor using our Service, you agree to:
- Provide accurate business information, including valid licenses and insurance
- Maintain all required licenses, permits, and insurance for your trade
- Comply with all applicable laws, regulations, and building codes
- Provide accurate quotes and complete work as agreed with homeowners
- Maintain WSIB coverage (Ontario) or equivalent provincial workers' compensation
- Carry adequate liability insurance
- Respond professionally to project inquiries
- Not misrepresent your qualifications or experience
6. Vetting and Verification
While we make efforts to vet contractors on our platform, we do not guarantee the quality, safety, or legality of any contractor's work. Our vetting process may include:
- Verification of business registration
- Review of insurance documentation
- Verification of trade licenses where applicable
- Review of contractor-provided information
Homeowners are encouraged to conduct their own independent verification before hiring any contractor.
7. Prohibited Conduct
You agree not to:
- Use the Service for any illegal purpose
- Provide false or misleading information
- Impersonate another person or entity
- Interfere with or disrupt the Service
- Attempt to gain unauthorized access to our systems
- Use automated systems to access the Service without permission
- Harvest or collect user information without consent
- Post spam, advertisements, or promotional content
- Circumvent the platform to avoid fees or to contact users directly outside the Service
8. Intellectual Property
The Service and its original content, features, and functionality are owned by Loosetile and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our express written permission.
9. User Content
You retain ownership of any content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with operating the Service.
You represent that you have the right to submit any content you provide and that such content does not violate any third-party rights.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
WE DO NOT GUARANTEE THE QUALITY, SAFETY, OR LEGALITY OF ANY CONTRACTOR'S SERVICES, THE TRUTH OR ACCURACY OF ANY LISTINGS OR CONTENT, OR THE ABILITY OF CONTRACTORS TO PERFORM WORK OR HOMEOWNERS TO PAY.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOSETILE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your use or inability to use the Service
- Any conduct or content of any third party on the Service
- Any work performed by contractors found through the Service
- Unauthorized access to or alteration of your data
- Any disputes between homeowners and contractors
12. Indemnification
You agree to indemnify and hold harmless Loosetile and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of or related to your use of the Service, violation of these Terms, or infringement of any third-party rights.
13. Dispute Resolution
Any disputes arising from these Terms or your use of the Service shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, for resolution of any disputes.
14. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
15. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Loosetile regarding your use of the Service and supersede any prior agreements.
